Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change
in Fiscal Year.
The IBM Board of Directors adopted amendments to IBM’s By-laws,
effective October 25, 2021, to amend Article III, Section 2, to increase the number of directors from twelve to thirteen as a result of
the previously disclosed election of Al Zollar.
The foregoing description of the amendments to the By-laws is qualified
in its entirety by the text of the By-laws, a copy of which is attached hereto as Exhibit 3.2 and incorporated herein by reference.
