Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.   As further described in the press release included as Exhibit 99.1 hereto, on February 24, 2021, Michael F. Barry informed the Board of Directors of the Company (the “Board”) that he plans to retire from his role as President and CEO on December 31, 2021. He will retain the role of Chairman of the Board following his retirement. The Board is committed to a strong, orderly process and transition with a comprehensive search that will include internal and external candidates.   Item 9.01.
