of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
In anticipation of her retirement, MaryAnn Miller, Chief Administrative
Officer, and Avnet, Inc. (the “Company”) have begun the process of transitioning Ms. Miller’s responsibilities.
As of October 16, 2020, Ms. Miller ceased serving as the Chief Administrative Officer of the Company, but will continue as an employee
and will report to the Chief Executive Officer as a senior advisor. The Company will continue to compensate Ms. Miller pursuant
to her employment agreement and the Company’s compensation and benefit plans.
