Item 8.01 Other Events.
On February 5, 2020, Eversource Energy issued
a news release announcing that the Board of Trustees had approved an increase in the quarterly dividend to $0.5675 per share, payable
on March 31, 2020, to shareholders of record as of the close of business on March 4, 2020. A copy of the news release is attached
as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
