On December 12, 2022, Agilysys, Inc. (the “Company”), sent a communication including a holiday video to an external mailing list. The Company later discovered that the communication also inadvertently included a link to a video recording of a town hall meeting that the Company conducted for its employees on October 27, 2022. This town hall meeting included the information in the slides furnished herewith as Exhibit 99.1, which the Company is furnishing for Regulation FD purposes. In addition, during the meeting, Ramesh Srinivasan, the Company’s Chief Executive Officer, also noted in his remarks that projections for sales net ACV for the quarter ending December 31, 2022 were then forecast to be about $28 million.   The information contained in this Item 7.01 as well as in Exhibit 99.1 is furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and such information shall not be deemed to be incorporated by reference into any of the Company’s filings under the Securities Act of 1933, as amended, or the Exchange Act.
