On May 10, 2022, CECO Environmental Corp., a Delaware corporation (the “Company”), issued a press release announcing its financial results for the quarter ended March 31, 2022. Item 7.01 Regulation FD Disclosure On May 10, 2022, the Company issued a press release announcing that its Board of Directors authorized the repurchase of up to $20.0 million of the Company’s common stock. The press release is furnished herewith as Exhibit 99.2. Also, on May 10, 2022, the Company issued a press release announcing it has acquired Compass Water Solutions, Inc. ("Compass"), a leading global supplier of membrane-based industrial water and wastewater treatment systems that help customers achieve regulatory compliance of water discharge at the lowest lifecycle cost. Key financial highlights include: • Purchase price of approximately $12.5 million financed with cash and debt • Compass generated approximately $11 million of revenue in 2021 • Compass has above-average EBITDA margins and cash flows delivering attractive value for the Company.
