Explanatory Note
This Amendment No. 1 on Form 8-K/A (the “Amendment”) is being
filed by Lincoln National Corporation (the “Corporation”) to amend the Current Report on Form 8-K filed by the Corporation
with the Securities and Exchange Commission on September 11, 2023 (the “Original Report”), solely to supplement Item 5.02
of the Original Report to include additional disclosure regarding board committee assignments. This Amendment does not otherwise amend,
update or change any other disclosure contained in the Original Report.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously reported in the Original Report,
on September 11, 2023, Owen Ryan was elected to serve as a new director on the Board of Directors (the “Board”) of the Corporation
effective the same date. On November 9, 2023, Mr. Ryan was appointed to the Audit Committee and the Compensation Committee of the Board
effective the same date.
