Item 5.02. Departure of Directors or Certain Officers; Election
of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 5, 2021, Lisa M. Buckingham, Executive Vice President and
Chief People Place and Brand Officer and a named executive officer of the Lincoln National Corporation (“Company”)
announced her resignation as an executive officer from the Company effective March 10, 2021.
On March 6, 2021, Wilford H. Fuller, Executive Vice President and
President of Annuities, Lincoln Financial Distributors and Lincoln Financial Network and a named executive officer of the Company
announced his resignation as an executive officer from the Company effective March 10, 2021.
