(the “Company”) announced that it is commencing, subject to market and other conditions, a private offering (the “Offering”) of senior notes (the “Notes”). The Notes will be guaranteed by the Company’s subsidiaries that are guarantors under its senior credit agreement. The Company intends to use the net proceeds from the offering primarily to repay indebtedness incurred pursuant to its senior credit agreement, as well as for general corporate purposes, which may include dividends, share repurchases, acquisitions, working capital and capital expenditures. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed.   The Notes will be offered in a private offering that is exempt from registration under the Securities Act of 1933 (the “Securities Act”), as amended, and may not be offered or sold in the United States absent such registration or an exemption from the registration requirements of the Securities Act.
