Item 8.01. Other Events.
On May 15, 2023, HEICO Corporation, a Florida
corporation (the “Company”) issued a press release announcing the entry into an agreement to acquire Wencor Group (“Wencor”)
from affiliates of Warburg Pincus LLC and Wencor’s management for $1.9 billion in cash and $150 million in HEICO Class A Common
Stock to be paid at closing, or $2.05 billion in the aggregate. A copy of the press release is attached hereto as Exhibit 99.1 and is
incorporated herein by reference. The press release should be read in conjunction with the note regarding forward-looking statements,
which is included in the text of the press release.
