(the “Company”) and Ferrari S.p.A. (“Ferrari”) entered into Amendment # 3 (the “Amendment”) to the January 1, 2018 license agreement between the parties (as previously amended, the “Existing License Agreement”). The Amendment amends the Existing License Agreement by (1) ending the license term on June 30, 2022 rather than December 31, 2022 and eliminating the provisions regarding a possible renewal and (2) revising the royalty and minimum advertising expenditure provisions for the period from January 1, 2021 through the end of the sell-off period on December 31, 2022. The other material provisions of the Existing License Agreement remain substantially unchanged.
