Other Events.   On September 10, 2019, Spectrum Brands Holdings, Inc. (“Spectrum Brands”) issued a press release announcing that its indirect wholly owned subsidiary, Spectrum Brands, Inc., priced its previously announced offering of Senior Notes due 2029 (the “Notes”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The Notes will not be registered under the Securities Act and may not be offered or sold in the United States absent such registration or an exemption from the registration requirements of the Securities Act.
