Templeton notified the Board of Directors of Texas Instruments Incorporated (the “Company”) that he will retire as executive chairman and as a member of the Board on December 31, 2025. The Board has appointed Haviv Ilan, the Company’s president and chief executive officer, as the Company’s new chairman, effective on Mr. Templeton’s retirement.   ITEM 7.01 Regulation FD Disclosures.   The Company’s press release dated October 16, 2025, regarding the planned retirement of Mr. Templeton and Mr. Ilan’s appointment, is attached hereto as Exhibit 99 and incorporated herein by reference.   ITEM 9.01.
