(the “Company”) announced an agreement to sell its InSinkErator business to Whirlpool Corporation. The purchase agreement for the transaction includes customary representations, warranties and covenants by the parties. The transaction is expected to close in the Company's 2023 fiscal year, subject to regulatory approvals and other customary closing conditions. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.       Item 9.01.
