Emerging growth company ☐ If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act. ☐     Item 8.01 Other Events.   On February 27, 2022, First Horizon Corporation (“First Horizon”) announced that it had entered into an Agreement and Plan of Merger (the “Merger Agreement”) with The Toronto-Dominion Bank (“TD”), TD Bank US Holding Company, and Falcon Holdings Acquisition Co., providing for the acquisition of First Horizon by TD. The closing of the transaction is subject to customary closing conditions, including approvals from regulatory authorities in the U.S. and Canada.   On February 9, 2023, First Horizon and TD announced that they have mutually agreed to extend the outside termination date of the Merger Agreement from February 27, 2023 to May 27, 2023, in accordance with the terms of the Merger Agreement.
