FLAGSTAR BANK, NATIONAL ASSOCIATION files DEF 14A

Flagstar Bank, N.A. is holding its Annual Meeting on June 9, 2026, to elect eight directors, ratify KPMG LLP as its auditor, approve named executive officer compensation on an advisory basis, and approve an amendment to its 2020 Omnibus Incentive Plan to increase the share reserve by 12 million shares. The bank reported a net loss of "$177 million" for full-year 2025, a significant improvement from a net loss of "$1,118 million" in 2024, and returned to profitability in the fourth quarter of 2025 with net income of "$29 million."
