(the “Fund”) with the United States Securities and Exchange Commission (the “Commission”) on June 6, 2024 (the “Original Form 8-K”). The Original Form 8-K reported that on June 2, 2024, the Board of Directors (the “Board”) of the Fund, a Maryland corporation, elected to classify the Board, effective June 4, 2024, pursuant to provisions of the Maryland General Corporation Law. It also reported that on June 2, 2024, the Board approved amending the bylaws of the Fund (the “Amended and Restated Bylaws”).
