CMS ENERGY CORP files DEF 14A

CMS Energy Corporation (CMS) is holding its virtual Annual Meeting of Shareholders on May 8, 2026, to vote on the election of 11 director nominees, an advisory resolution on executive compensation, and the ratification of PricewaterhouseCoopers LLP as the independent auditor. Shareholders will also vote on proposals to increase authorized common stock, allow shareholders to call special meetings, and a shareholder proposal regarding the right to act by written consent. The Board recommends "FOR" all proposals except the shareholder proposal, for which it recommends "AGAINST."
