On November 15, 2020, The Home Depot, Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with HD Supply Holdings, Inc., a Delaware corporation, and Coronado Acquisition Sub Inc., a Delaware corporation and a wholly owned subsidiary of the Company. On November 16, 2020, the Company issued a press release announcing entry into the Merger Agreement, which press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein. Pursuant to General Instruction B.2. to Form 8-K, the information set forth in this Item 7.01, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
