Effective July 17, 2023, Robert Half International Inc. (the “Company”) changed the Company’s legal name from “Robert Half International Inc.” to “Robert Half Inc.” through an amendment to the Company’s Restated Certificate of Incorporation (the “Certificate of Incorporation”). Upon the effectiveness of the new legal name, the Company restated the Certificate of Incorporation to reflect this amendment and amended and restated the By-Laws to reflect the Company’s new legal name. The foregoing description is qualified in its entirety by reference to the Restated Certificate of Incorporation and Amended and Restated By-Laws that are attached hereto as Exhibits 3.1 and 3.2, respectively, and incorporated herein by reference.
