DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On November 29, 2019 , Ms. Louise L. Francesconi, a member of the Board of Directors (the “Board”) of Stryker Corporation (the “Company”), informed the Company that she plans to retire as a director and will not stand for re‑election to the Board at the Company’s annual shareholders meeting expected to be held on May 5, 2020 (the “Annual Meeting”). Ms. Francesconi will continue to serve as a director until the Annual Meeting. Ms. Francesconi’s decision to not stand for re-election did not involve any disagreement with the Company.
