On October 11, 2017, the Board of Directors of the Company elected Mario Longhi to its Board of Directors to be effective immediately. The Board of Directors has not yet appointed Mr. Longhi to any committee. The Board of Directors also considered the independence of Mr. Longhi under the New York Stock Exchange listing standards and the Company's corporate governance principles and concluded that he is an independent director under the applicable standards.
