On August 20, 2025, at its Annual Meeting of Shareholders of World Acceptance Corporation (the "Company") the Company's shareholders approved the 2025 Stock Incentive Plan (the “2025 Plan”). The 2025 Plan permits the grant of stock options, stock appreciation rights, restricted stock and restricted stock unit awards. The effective date of the 2025 Plan was August 20, 2025 and awards may be granted under the 2025 Plan until August 19, 2035. The 2025 Plan is administered by the Compensation and Stock Option Committee (the "Committee") of the Board of Directors. Employees and non-employee directors of the Company or a related entity are eligible to participate if selected by the Committee. The number of shares of common stock that may be issued under the 2025 Plan may not exceed 400,000 shares, subject to any adjustments as provided in the 2025 Plan. Item 5.07 Submission of Matters to a Vote of Security Holders. The Company held its Annual Meeting of Shareholders on August 20, 2025. Of the 5,446,636 shares outstanding and entitled to vote, 4,937,225 shares were represented at the Annual Meeting, which constituted a quorum. At the Annual Meeting, the Company's shareholders voted on the matters disclosed in the Company's Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on July 23, 2025 (the "Proxy Statement").
