Long-Term Incentive Program On June 10, 2025, the Compensation and Stock Option Committee (the “Committee”) approved a grant of service-based restricted stock awards (“Restricted Stock”), and service- and performance-based restricted stock awards (“Performance Shares”) under the World Acceptance Corporation 2017 Stock Incentive Plan (the “2017 Plan”) to certain employees, including the Company’s named executive officers. The Performance Shares shall vest, if at all, based on the achievement of a trailing earnings per share performance target established by the Committee that is based on earnings per share of $18.40 (measured at the end of each calendar quarter, commencing with the calendar quarter ending September 30, 2025) for the previous four calendar quarters. The Performance Shares are eligible to vest over the performance period beginning on July 1, 2025 and ending on March 31, 2027 (the “Performance Share Measurement Period”), following certification by the Committee of achievement and subject to each respective employee’s continued employment at the Company through the last day of the Performance Share Measurement Period or as otherwise provided under the terms of the applicable award agreement or applicable employment agreement. The Restricted Stock awards will vest in two equal annual installments, beginning on December 1, 2026, subject to each respective employee’s continued employment at the Company through each applicable vesting date or as otherwise provided under the terms of the applicable award agreement or applicable employment agreement.
