Schertle separated from service as Chief Operating Officer, Secretary of Weis Markets, Inc. (the “Company”). ​ Jonathan H. Weis, Chairman, President, and Chief Executive Officer assumed the duties of interim Chief Operating Officer of the Company effective October 16, 2024. Biographical and other information regarding Mr. Weis required by Items 401(b) and 401(e) of Regulation S-K is contained in the Company’s Proxy Statement on Schedule 14A for its 2024 Annual Meeting of Shareholders, filed with the Securities and Exchange Commission on March 14, 2024, and such information is incorporated by reference into this Current Report on Form 8-K. Mr. Weis does not have any family relationships with any of the Company’s directors or executive officers and has no direct or indirect material interest in any current or proposed transaction with the Company which requires disclosure pursuant to Item 404(a) of Regulation S-K. No arrangement or understanding exists between Mr. Weis and any other person pursuant to which Mr. Weis was selected as the interim Chief Operating Officer. There are no plans, contracts, arrangements, grants, or awards entered into or amended in connection with Mr. Weis’ assumption of the duties of interim Chief Operating Officer. John (Jack) F.
