On January 13, 2026, David K. Wilson informed KeyCorp of his decision to retire for personal health reasons from the Board of Directors (the "Board"), effective immediately. In light of Mr. Wilson's retirement, KeyCorp's Board approved a reduction in the size of the Board to 14 members, effective January 15, 2026.
