(a) Resignation of Grant Thornton LLP . On April 13, 2023, Grant Thornton LLP (“GT”), the independent registered public accounting firm to SIFCO Industries, Inc. (the “Company”), informed the Company of its decision to resign from its role as the Company’s independent registered public accounting firm. Neither the Audit Committee nor the Board of Directors of the Company took part in GT’s decision to resign. The reports of GT on our consolidated financial statements as of and for the fiscal years ended September 30, 2022 and 2021 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principles. During the fiscal years ended September 30, 2022 and 2021, and the subsequent interim periods through April 13, 2023, there were (i) no disagreements within the meaning of Item 304(a)(1)(iv) of Regulation S-K between the Company and GT on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to GT’s satisfaction would have caused it to make reference to the subject matter of such disagreements in connection with its reports on the Company’s consolidated financial statements for such years; and (ii) no “reportable events” within the meaning of Item 304(a)(1)(v) of Regulation S-K. The Company provided GT with a copy of the disclosures that the Company is making in response to Item 4.01 on this Current Report on Form 8-K, and requested that GT furnish it with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above statements.
