On November 26, 2024, Rockell N. Hankin, a member of the board of directors (the “Board”) of Semtech Corporation (the “Company”), notified the Board of his decision to resign from the Board effective immediately. Mr. Hankin’s decision to resign from the Board was not due to any disagreement with the Company or the Board.
