On September 2, 2020, SPX Corporation announced the acquisition of ULC Robotics. Under the terms of the purchase agreement, SPX’s subsidiary ULC Business Holdings, LLC acquired ULC Robotics, Inc., ULC Robotics International, Inc., and ULC Pipeline Robotics LLC for total cash consideration of $90 million and contingent cash payments of up to an aggregate of $45 million scheduled to be made in 2021 and 2022, upon the successful achievement of certain operational and financial performance milestones.
