Item 2.02. Results of Operations and Financial Condition.
On May 1, 2025, Olin Corporation (“Olin”) issued a press release announcing financial results for the quarter ended March 31, 2025. Attached as Exhibit 99.1, and incorporated by reference, is a copy of Olin’s press release dated May 1, 2025.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 1, 2025, the Board approved an amendment to Article II, Section 1 of Olin’s Bylaws to decrease the size of the Board from ten to nine directors, following the completion of Mr. C. Robert Bunch’s term on the Board. A copy of the amended Bylaws is filed as Exhibit 3.1 hereto and is incorporated by reference into this Item 5.03.
Item 5.07. Submission of Matters to a Vote of Security Holders.
Olin’s 2025 annual meeting of shareholders was held on May 1, 2025. Of the 115,083,118 shares of Common Stock entitled to vote at such meeting, 105,021,493 shares were present for purposes of a quorum. The voting results for each of the three proposals submitted for vote by Olin’s shareholders are set forth below.
Proposal 1 – Election of Directors
The shareholders elected each of the nine nominees to the Board of Directors for a one-year term by the vote of the majority of votes cast, in accordance with Olin’s Bylaws.

Item 7.01. Regulation FD Disclosure.
On May 1, 2025, Olin’s Board of Directors declared a quarterly dividend of $0.20 on each share of Olin common stock. The dividend is payable on June 13, 2025 to shareholders of record at the close of business on May 15, 2025. This marks Olin’s 394th consecutive quarterly dividend.
