On March 14, 2024, the Board of Directors (the “Board”) of NCR Voyix Corporation (the “Company”) appointed Irv Henderson to the Board, effective immediately, to serve until the Company’s 2024 annual meeting of stockholders and until his successor is duly elected and qualified (the “2024 Annual Meeting”). The Board determined that Mr. Henderson is an independent director. Mr. Henderson, age 54, brings more than two decades of experience in software development and point-of-sale software to the Board. He most recently served as executive vice president and chief digital officer for small business at U.S. Bancorp from September 2019 until December 2023, where he led development and execution of the One U.S. Bank digital strategy for business customers. Mr. Henderson joined U.S. Bank via its acquisition of talech Inc., a provider of POS systems for restaurants and retailers which he co-founded, serving as CEO from April 2012 until its acquisition by U.S. Bancorp in September 2019. His career also includes technology product leadership roles with Yahoo!, Obopay and InfoSpace Mobile. Mr. Henderson will receive standard compensation for service as a non-employee director of the Company, including an annual cash retainer of $80,000 and a sign-on equity grant of $160,000 (in each case pro rated). As previously disclosed, on December 8, 2023, Georgette Kiser notified the Company that she will not stand for re-election to the Board at the Company’s 2024 Annual Meeting.
