Termination of a Material Definitive Agreement. On August 10, 2023, MDU Resources Group, Inc. (the “Company”) provided notice of termination, effective August 10, 2023, of the Distribution Agreement, dated as of February 22, 2019, as amended on August 14, 2020 (the “Distribution Agreement”), that the Company had entered into with J.P. Morgan Securities LLC and MUFG Securities Americas Inc., as agents (together, the “Agents”). As previously reported, pursuant to the terms of the Distribution Agreement, the Company could issue and sell from time to time, in the manner and subject to the terms and conditions described in the Distribution Agreement, up to 6,398,889 shares of the Company’s common stock, $1.00 par value per share (the “Common Stock”), to or through the Agents. Prior to the termination, the Company had capacity to issue approximately 3.6 million additional shares of Common Stock pursuant to the Distribution Agreement.
