Emerging growth company ☐ If an emerging growth company, indicate by check mark if the registrant has elected not to use the extended transition period for complying with any new or revised financial accounting standards provided pursuant to Section 13(a) of the Exchange Act.      ☐ Item 2.02 Results of Operations and Financial Condition As a result of the settlement in principle described in Item 8.01 below, Entergy New Orleans, LLC’s (“Entergy New Orleans”) first quarter 2024 results will include a regulatory charge, and an increase in the associated regulatory liability, in the amount of $78 million to reflect an increase in customer sharing of income tax benefits from the 2016–2018 IRS audit resolution. In fourth quarter 2023, Entergy New Orleans recorded a provision to reflect customer sharing of $60 million of income tax benefits. This will increase the total amount to be shared to $138 million. This item will be considered an “adjustment” to Entergy’s net income under generally accepted accounting principles (“GAAP”), and therefore will not affect Entergy’s adjusted earnings per share (non-GAAP). Other Events On April 18, 2024, Entergy New Orleans and the Council of the City of New Orleans entered into a settlement in principle whereby Entergy New Orleans commits to increase the customer sharing of income tax benefits from the 2016–2018 IRS audit resolution from $60 million to $138 million (a $78 million increase). The settlement in principle also provides for the retail ratemaking treatment of the total customer credit.
