Submission of Matters to a Vote of Security Holders. McDonald’s Corporation (the “Company”) held its Annual Shareholders’ Meeting (the “Annual Meeting”) on May 26, 2022. Set forth below are the final, certified voting results for each proposal presented at the Annual Meeting, as reported by First Coast Results, Inc., the Company’s independent inspector of election (the “Inspector”). Based on these results, 564,335,881 shares of the Company’s common stock were voted in person or by proxy at the Annual Meeting, representing 76.3% of the shares outstanding and entitled to vote.
