On September 17, 2024, the Lincoln National Corporation (“Company”) Board of Directors (the “Board”) approved an amendment to the Amended and Restated Bylaws of the Company (the “Bylaws”), effective September 17, 2024, to modify the language in Article II, Section 1 of the Bylaws to decrease the number of authorized Board members from twelve to eleven.
