Effective immediately, Ms. Sivajee will serve as a member of the Board’s Public Policy and Corporate Governance Committee. The Board has determined Ms. Sivajee qualifies as an independent director under the New York Stock Exchange independence standards and the Corporation’s categorical independence standards. The Board of Directors of the Corporation consists of eleven directors - ten independent outside directors and the Chief Executive Officer of the Corporation. Ms. Sivajee, 42, is the Chief Marketing Officer of The Knot Worldwide. The press release announcing Ms. Sivajee’s election is attached as Exhibit 99.1 and is filed herewith. For her service on the Board, Ms. Sivajee will receive the same compensation as other non-management members of the Board as outlined in the Corporation’s definitive proxy statement filed with the Securities and Exchange Commission on March 22, 2019. There is no arrangement or understanding between Ms. Sivajee and any other person pursuant to which she was selected as a director, and there are no family relationships between Ms. Sivajee and any director or executive officer of the Corporation or any related party transactions involving Ms. Sivajee.
