On April 16, 2024, the Board of Directors (the "Board") of HP Inc. (the "Company") adopted amendments to the Company's amended and restated bylaws (the "Bylaws"). The amendments, described below, and amended and restated Bylaws are effective April 22, 2024. The amendments to the Bylaws are solely to decrease the number of authorized directorships comprising the Board from 14 to 12 in connection with Shumeet Banerji and Subra Suresh not standing for re-election at the Company's annual meeting, resulting in each stepping down from the Board effective at the annual meeting on April 22, 2024.
