Submission of Matters to a Vote of Security Holders. Greif, Inc. (the “Company”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (“SEC”) on March 1, 2017 (the “ Prior 8-K ”), disclosing the voting results from its annual meeting of stockholders held on February 28, 2017. The purpose of this Current Report on Form 8-K/A is to amend, based on SEC rules, the Prior 8-K to report that on June 6, 2017, based upon and consistent with the voting results with respect to the stockholder vote on the frequency of stockholder votes on executive compensation, the Company’s Board of Directors determined that it currently intends to include an advisory vote on the Company’s executive compensation to its named executive officers every three years until the next required vote on frequency of stockholder votes on executive compensation. The Company is required to hold votes on frequency of stockholder votes on executive compensation every six years. The remainder of the information contained in the Prior 8-K is not hereby amended.
