On December 4, 2020, the Board of Directors (the “Board”) of Graco Inc. (the “Company”) appointed Mr. Brett C. Carter to serve as a director of the Company, effective February 11, 2021. Mr. Carter was appointed to the class of directors whose terms expire at the 2021 annual meeting of shareholders of the Company. Mr. Carter has been appointed to serve on the Board’s Audit Committee and Management Organization and Compensation Committee, effective February 11, 2021. In connection with his appointment, Mr. Carter will be receiving the standard director compensation as referenced in our Proxy Statement for the 2020 Annual Meeting.
