(e) As previously disclosed, on May 1, 2024, General Dynamics Corporation (the “Company”) entered into a consulting agreement (the “Consulting Agreement”) with Mark C. Roualet, the Company’s former Executive Vice President, Combat Systems, pursuant to which Mr. Roualet provides advisory consulting services to the Company through December 31, 2024, and receives a monthly payment of $36,500. On December 12, 2024, the Company and Mr. Roualet entered into an amendment to the Consulting Agreement, which provides that Mr. Roualet will continue to provide advisory consulting services to the Company through June 30, 2025 (the “New Consulting Agreement End Date”). Aside from the New Consulting Agreement End Date, no other changes to the terms and conditions of Mr. Roualet’s May 1, 2024, Consulting Agreement, including the monthly payment amount, were made.
