Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(c) On April 11, 2022, the Board of Directors (the “Board”) of Franklin Resources, Inc. (the “Company”) appointed Mr. Matthew Nicholls, currently Executive Vice President and Chief Financial Officer of the Company, to the additional role of Chief Operating Officer of the Company, effective April 15, 2022. Mr. Nicholls will expand his responsibilities to include technology, operations, and human resources. Since joining the firm in 2019, Mr. Nicholls has worked in close partnership with all these groups to drive changes designed to improve operational capabilities across the firm.
Biographic information regarding Mr. Nicholls is included at the end of Part I of the Company’s Annual Report on Form 10-K for the fiscal year ended September 30, 2021 under the heading “Information About Our Executive Officers,” and such information is incorporated herein by reference.
