On March 14, 2024, the Board of Directors of Ford Motor Company (“Ford”) approved, effective as of March 14, 2024, the amendment and restatement of the following Ford benefit plans: Defined Benefit Supplemental Executive Retirement Plan (“DB SERP”), Executive Separation Allowance Plan (“ESAP”), and Select Retirement Plan (“SRP”). Effective March 14, 2024, the DB SERP, ESAP, and SRP are closed to new participants. The amended and restated DB SERP, ESAP, and SRP are attached hereto as Exhibits 10.1, 10.2, and 10.3, respectively, and are incorporated herein by reference. Item 9.01.
