Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers .
In a Form 8-K filing dated October 12, 2023, we announced that Ashwani Kumar Galhotra was elected Chief Operating Officer of Ford Motor Company (“Ford”) effective October 12, 2023, and that Mr. Galhotra’s compensation arrangements would be the subject of an amended Form 8-K filing. On December 13, 2023, the Compensation, Talent and Culture Committee of Ford’s Board of Directors approved the following compensation arrangements for Mr. Galhotra, effective January 1, 2024: (i) an increase in his annual base salary from $1.094 million to $1.194 million; and (ii) an increase in his Annual Performance Bonus Plan target from $1.231 million to $1.344 million.
