On October 8, 2025, Thomas M. Levine gave the Board of Directors (the “Board”) of Flexsteel Industries, Inc. (the “Company”) notice that he intends to resign from the Board effective at the conclusion of the Board meeting to be held December 10, 2025, to focus on family and other interests. Mr. Levine has confirmed to the Company’s Board that his resignation is not the result of any disagreement on any matter relating to the Company’s operations, policies or practices. Item 7.01 Regulation FD Disclosure. On October 9, 2025, the Company issued a press release announcing Mr. Levine’s notice of his intent to resign.
