On October 25, 2022, Kenneth A. Burdick informed First Horizon Corporation that he intends to resign from the boards of directors of First Horizon Corporation and of First Horizon Bank effective at end-of-day on January 1, 2023. If the previously announced pending acquisition of First Horizon by The Toronto-Dominion Bank closes on or before January 1, 2023, Mr. Burdick intends to resign at closing. Mr. Burdick informed First Horizon that his decision to step down was not due to any disagreement with management on any matter. Mr. Burdick has served as a director since 2019.
