Explanatory Note On August 10, 2020, Federal Realty Investment Trust (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) under Item 5.02 to report the appointment of Nicole Lamb-Hale and Anthony Nader to the Company’s Board of Trustees (the “Board”). At the time of the Original Form 8-K filing, the Board had not determined to which committees, if any, Ms. Lamb-Hale and Mr. Nader would be appointed. The Company is filing this Amendment No. 1 to the Original Form 8-K to disclose the subsequent appointment of Ms. Lamb-Hale and Mr. Nader to Board committees. No other changes have been made to the Original Form 8-K. Item 5.02 . Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. Effective as of November 4, 2020, Ms. Lamb-Hale has been appointed to the Nominating and Corporate Governance Committee and the Compensation Committee of the Board and Mr. Nader has been appointed to Audit Committee and the Nominating and Corporate Governance Committee of the Board.
