EXPLANATORY NOTE
The registrant hereby amends its Current Report on Form 8-K previously filed on May 12, 2020 (the “Original Form 8-K”) solely for the purpose to correct a clerical error on its previous reporting under Item 5.07 of the Original Form 8-K to report the results of proposal number 3, to approve on an advisory (non-binding) basis the compensation of the registrant’s named executive officers. No other changes have been made to the Original Form 8-K.
Item 5.07 Submission of Matters to a Vote of Security Holders
3. A proposal seeking approval, on an advisory basis, of a resolution approving the compensation paid to the Company’s named executive officers, as disclosed in the Proxy Statement for the 2020 Annual Meeting of Stockholders pursuant to the compensation disclosure rules of the Securities and Exchange Commission, including the Compensation Discussion and Analysis, the Summary Compensation Table, and the related compensation tables and accompanying narrative disclosure therein was approved, with the votes cast as follows:
