On February 22, 2022, Cummins Inc. (“Cummins”) and Meritor, Inc. (“Meritor”) issued a joint press release announcing the entry into a definitive agreement pursuant to which Cummins will acquire Meritor for $36.50 per share in an all-cash transaction valued at $3.7 billion, including assumed debt and net of acquired cash. The full text of the press release is attached as Exhibit 99.1 and is incorporated by reference herein. On February 22, 2022, Cummins and Meritor will hold joint investor conference calls to discuss the transaction. A copy of the presentation materials is attached hereto as Exhibit 99.2 and is incorporated by reference herein.
