Item 8.01    Other Events. On February 18, 2025, Unum Group, a Delaware corporation (the “Company”), issued a news release announcing that its Board of Directors has authorized the repurchase of up to $1 billion of its outstanding shares of common stock from time to time on or after April 1, 2025. The Board of Directors also authorized the termination of the Company’s current share repurchase program as of March 31, 2025, with any unused amount under the program expiring as of that date. A copy of the news release concerning the new share repurchase authorization is filed herewith as Exhibit 99.1 and incorporated herein by reference. Item 9.01      Financial Statements and Exhibits.
