Item 5.02      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On July 14, 2023, the Board of Directors (the “Board”) of Unum Group (the “Company”) increased the number of directors serving on the Board from 11 to 12 and elected Mojgan M. Lefebvre as a director of the Company, effective July 20, 2023. The Board has affirmatively determined that Ms. Lefebvre is an independent director. Ms. Lefebvre has not yet been appointed to any committees of the Board. Ms. Lefebvre will participate in the standard compensation arrangement for non-employee directors, which includes receiving an annual cash retainer and restricted stock unit award (prorated to reflect the date on which service begins), as described in the “Director Compensation” section of the Company’s proxy statement filed with the Securities and Exchange Commission on April 13, 2023.
